BY-LAWS of the
St. Lawrence County Information Technology Advisory Board

Article 1

Name and Statement of Purpose

Section 1. Name

The name of this organization shall be the “St. Lawrence County Information Technology Advisory Board”.

Section 2. Purpose

The purpose of this organization shall be to:

(A) Act in an advisory capacity to the St. Lawrence County Board of Legislators in all matters concerning computers, broadband, electronic communication and Information Technology.

(1) The Information Technology Advisory Board’s liaison with the County Legislature shall be through the Legislature’s Services Committee.

(B) Work with various government agencies, groups and individuals to improve all aspects of Information Technology.

(C) The Information Technology Advisory Board and its appointed members will act in accordance to the St. Lawrence County Ethics Law.

Article II

Membership

Section 1. Voting Members

(A) There shall be fifteen (15) voting members, all of whom shall be appointed by the St. Lawrence County Board of Legislators and serve at their pleasure.

(B) Appointment to the Information Technology Advisory Board shall be for a term of five (5) years. No more than four (4) members’ terms may expire during any one calendar.

(C) Members appointed to fill a vacancy shall serve to the end of the vacant term.

(D) Members wishing to resign shall do so in writing to the Chair of the Information Technology Advisory Board.

Section 2. Ex-Officio Members

A member of the Board of Legislators shall be appointed to the IT Advisory Board by the BOL Board Chair to act as a liaison between the BOL and the Advisory Board.

Article III

Meetings

Section 1. General Meetings

General meetings will be held at such times and places as the board deems necessary. Meeting times and locations will be made available to the public. Meetings are open to the public.

Section 2. Meeting Notices

Notice of meetings shall be distributed via email at least one week prior to meeting date.

Section 3. Quorum

At all meetings of the Board at which official action is taken, there shall be present at least six (6) of the fifteen (15) voting members. In the event there are fewer than six members, those in attendance may decide by majority to hold the meeting but may take no official vote until a quorum is established.

Section 4. Voting

All questions, except those questions which are specifically prescribed by law or these by-laws, shall be determined by a simple majority vote of those fifteen voting members making up the quorum.

Section 5. Attendance

Attendance at all meetings is important. Attendance may include in-person, telephone or video link. If a member fails to attend three regular meetings of the Board in a calendar year, the Board may, by a majority vote of its membership, recommend to the St. Lawrence County Board of Legislators that a person’s appointment be withdrawn, or if the person’s term of appointment is expiring, that they not be reappointed, and a replacement be named.

Article IV

Elections

Section 1. Election of Officers

At the first meeting held in any given calendar year, the voting members shall elect from among their number a Chair, Vice Chair and Secretary.

Article V

Committees

Section 1. Establishment and Make Up of Committees

The chair of each committee will be one of the fifteen voting members who will be appointed by the Chair of the Board. Membership of committees may be made up of voting members, ex-officio members and general public as deemed appropriate by the Chair of the Board and the Chair of the individual committee.

Article VI

Amendment of By Laws

Section 1. Process

Amendments to these by laws may be made with a vote of a super majority or 2/3 of the total number of currently appointed board members. Proposed changes must be distributed to all board members at least 7 days in advance of the meeting at which the matter will be brought forward.
